Website Design and Care Agreement

This agreement is between Couch Home Buyers LLC, doing business as Couch Web Co. ("Provider") and the business that accepts these terms at checkout ("Client"). It covers the design, launch and ongoing care of Client's website.
Plans and pricing
Standard is the default offer. Growth is the upsell for clients who also want their Google profile and reviews handled.

Terms
1. Website build
Provider will design, build and launch a website for Client that includes:
- Up to the number of pages in the selected plan (typically Home, Services, About, Service Area, Contact)
- Mobile-friendly design
- Tap-to-call button and a quote request form that sends leads to Client's phone and email
- Basic on-page search setup (page titles, descriptions, local business details)
- Link to Client's Google Business Profile and reviews
- Visitor and lead tracking used for the monthly results report
- Two rounds of revisions before launch
Provider will launch the site within 5 business days after receiving payment and all materials listed in Section 2. Work beyond this scope is billed at the add-on rates above or quoted in writing.
2. Client responsibilities
Client will provide, within 7 days of signing:
- Logo (if any), job photos, list of services, service area, business hours and license number (if applicable)
- Access or approval needed to connect the domain and Google Business Profile
- Timely answers to questions and revision requests
Client confirms it owns or has permission to use all content it supplies. If Client does not provide materials within 30 days, Provider may launch using the preview content and placeholder photos, or treat the build as complete. Client is responsible for the accuracy of its own business information, prices, licenses and claims shown on the site.
3. Fees and payment
- The setup fee is due in full at signing. Work begins after payment clears.
- The Monthly Care Plan fee is charged automatically to Client's card or bank account through Stripe. The first monthly charge occurs 30 days after launch, then on the same date each month.
- If a payment fails, Provider will notify Client and retry. If payment is not received within 14 days, Provider may pause the site until the account is current. A $25 reactivation fee applies to paused sites.
- The setup fee is non-refundable once design work has begun. Monthly fees are non-refundable for the current billing period.
- Provider may change the monthly fee with 60 days written notice. Client may cancel before the change takes effect.
4. Monthly Care Plan
While the Care Plan is active, Provider will:
- Host the site and keep it secure (SSL certificate included)
- Register and renew the domain in Client's business name
- Monitor the site for downtime and restore service promptly
- Make small edits within the plan's monthly edit time (text, photos, prices, hours, adding a service). Unused time does not roll over.
- Send a monthly results report with site visits, quote requests and tap-to-call clicks
- Respond to edit requests within 2 business days
Larger changes (redesigns, new features, new pages) are quoted separately.
5. Term and cancellation
- Standard plan: month-to-month. Either party may cancel with 30 days written notice (email counts).
- Growth plan: 3-month minimum, then month-to-month with 30 days notice.
- Provider may end this agreement with 30 days notice, or immediately if Client fails to pay, asks Provider to publish unlawful or misleading content, or is abusive toward Provider.
6. Ownership
- Client owns its business name, logo, photos, written content it supplied, and the domain name (registered in Client's name).
- Provider owns the site design template, code and systems used to build and run the site. Client receives a license to use them while the Care Plan is active.
- On cancellation: Provider will transfer the domain to Client at no charge once all fees are paid. Client may buy a full export of the site files for the add-on fee. Without the export, the site is taken offline at the end of the notice period.
7. Third-party services
The site relies on third-party services such as hosting, domain registrars, payment processors, Google and stock photo libraries. Provider is not responsible for their outages, price changes or policy changes, but will work in good faith to restore service.
8. No guarantee of results
Provider does not guarantee search rankings, website traffic, calls, leads or revenue. Results depend on factors outside Provider's control, including Client's market, reviews and service quality.
9. Limitation of liability
Provider's total liability under this agreement is limited to the fees Client paid in the 3 months before the claim. Neither party is liable for indirect or lost-profit damages. Client will cover claims arising from content Client supplied.
10. Portfolio use
Provider may show the finished site in its portfolio and marketing unless Client opts out in writing.
11. General
- This agreement is governed by the laws of the State of Georgia.
- It is the entire agreement between the parties and replaces any earlier discussions. Changes must be in writing, and email counts.
- Electronic signatures, including checking a box at online checkout, are binding.
- If any part is found unenforceable, the rest stays in effect.
12. Acceptance
Client accepts this agreement by checking the terms box at checkout. The business name, contact details, plan, and date recorded at checkout form part of this agreement.
